These Terms of Service (“Terms”) govern your access to and use of the IgaBusiness platform, websites, applications, and services (collectively, the “Service”), provided by IgaBusiness Ltd, a company registered in Rwanda (“IgaBusiness,” “we,” “our,” or “us”).

By creating an account, subscribing to a plan, or using the Service, you agree to be bound by these Terms.

If you do not agree, you must not use the Service.


1. About IgaBusiness

IgaBusiness is a business automation and customer engagement platform designed to help businesses capture leads, manage customer conversations, automate follow-ups, and track opportunities across channels such as websites, email, SMS, and WhatsApp.

IgaBusiness is provided as a software-as-a-service (SaaS) platform. We do not guarantee business outcomes, revenue, or customer acquisition.


2. Eligibility & Account Registration

To use IgaBusiness, you must:

  • Be at least 18 years old

  • Have legal authority to represent the business you are registering

  • Provide accurate, current, and complete information

You are responsible for:

  • Maintaining the confidentiality of your login credentials

  • All activity that occurs under your account

  • Ensuring your team members comply with these Terms

We reserve the right to suspend or terminate accounts that contain false information or violate these Terms.


3. Subscription Plans & Billing

3.1 Subscription Fees

Access to the Service requires a paid subscription unless otherwise stated.

  • Subscription fees are billed monthly in advance

  • Prices are displayed in USD unless stated otherwise

  • Fees are non-refundable, except where required by law

3.2 Usage-Based Charges

Certain features (including but not limited to WhatsApp messages, SMS, emails, and AI services) are billed based on usage.

  • Usage charges are billed separately from your subscription

  • You are responsible for all usage generated by your account

  • No refunds are provided for unused or consumed usage

3.3 Payment Processing

Payments may be processed via third-party payment processors (such as Stripe).

By subscribing, you authorize us to:

  • Charge your payment method for subscription fees and usage charges

  • Retry failed payments

  • Suspend services for unpaid balances


4. Free Trials, Promotions & Discounts

If offered:

  • Free trials automatically convert to paid subscriptions unless canceled before the trial ends

  • Promotional pricing may be time-limited

  • Discounts do not apply retroactively

We reserve the right to modify or discontinue promotions at any time.


5. Platform Usage & Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations

  • Send spam, unsolicited, or deceptive messages

  • Infringe on intellectual property rights

  • Harass, abuse, or mislead customers

  • Distribute malware or malicious content

  • Impersonate individuals or businesses

You are solely responsible for:

  • The content you create, send, or upload

  • Ensuring compliance with messaging, marketing, and data-protection laws applicable to your business


6. Messaging & WhatsApp Use

6.1 Third-Party Platforms

Messaging features rely on third-party providers (including WhatsApp, email gateways, SMS carriers).

We do not control these platforms and are not responsible for:

  • Delivery failures

  • Account restrictions imposed by third parties

  • Policy changes by WhatsApp or carriers

6.2 Compliance Responsibility

You are responsible for:

  • Obtaining customer consent

  • Following WhatsApp, SMS, and email marketing policies

  • Honoring opt-out requests

IgaBusiness is not liable for account bans or penalties resulting from your messaging practices.


7. Intellectual Property

7.1 Platform Ownership

All rights, title, and interest in the IgaBusiness platform, software, branding, and documentation remain the property of IgaBusiness or its licensors.

You receive a limited, non-exclusive, non-transferable license to use the Service during your subscription.

7.2 Your Content

You retain ownership of all data, contacts, messages, and content you upload.

By using the Service, you grant IgaBusiness a limited license to host, process, and transmit your content solely to provide the Service.


8. Data & Privacy

Your use of the Service is subject to our Privacy Policy, which explains how we collect, process, and store personal data.

You acknowledge that:

  • You act as the data controller for your customer data

  • IgaBusiness acts as a data processor

  • You are responsible for lawful data collection and consent


9. Support & Onboarding

Support levels vary by plan.

  • Starter plans receive standard support

  • Pro and Elite plans may include onboarding, guidance, and optimization services

Support does not include:

  • Custom development unless agreed separately

  • Legal, compliance, or marketing guarantees


10. No Guarantee of Results

IgaBusiness provides tools and systems only.

We do not guarantee:

  • Increased sales or revenue

  • Lead volume or conversion rates

  • Marketing performance

  • Business success

Results depend on your business, market, offers, and execution.


11. Suspension & Termination

We may suspend or terminate your account if:

  • You violate these Terms

  • Payments fail or remain unpaid

  • Your usage poses legal, security, or reputational risks

You may cancel your subscription at any time.
Access continues until the end of the current billing period.

No refunds are provided for partial periods.


12. Service Availability & Changes

We aim to provide reliable service but do not guarantee uninterrupted availability.

We may:

  • Modify features

  • Add or remove functionality

  • Update pricing with prior notice


13. Limitation of Liability

To the maximum extent permitted by law:

IgaBusiness shall not be liable for:

  • Lost profits or revenue

  • Business interruption

  • Data loss caused by third parties

  • Indirect, incidental, or consequential damages

Our total liability shall not exceed the fees paid by you in the three (3) months preceding the claim.


14. Indemnification

You agree to indemnify and hold harmless IgaBusiness from any claims, damages, or liabilities arising from:

  • Your use of the Service

  • Your content or messaging practices

  • Your violation of laws or third-party rights


15. Governing Law & Jurisdiction

These Terms are governed by the laws of the Republic of Rwanda.

Any disputes shall be subject to the exclusive jurisdiction of the competent courts of Rwanda, unless otherwise required by applicable law.


16. Changes to These Terms

We may update these Terms from time to time.

Continued use of the Service after updates constitutes acceptance of the revised Terms.
